  • Falsely imply endorsement by or affiliation with The Iron Patina.

6. Monitoring, Enforcement, and Termination

We may, in our sole discretion and without notice:

  • Remove or refuse to post any User Contributions for any reason.
  • Take action we deem appropriate if any User Contribution violates this Agreement, infringes rights, threatens safety, or could create liability.
  • Disclose your identity or information to third parties or authorities when required by law or when we believe disclosure is necessary to address violations or protect rights and safety.
  • Refer matters to law enforcement and pursue legal remedies for illegal or unauthorized activity.
  • Terminate or suspend your access to all or part of the Website for any or no reason, including violation of this Agreement.

We may cooperate fully with law enforcement and comply with court orders requesting information related to use of the Website.

7. Reliance on Information

10. Indemnification

You agree to defend, indemnify, and hold harmless The Iron Patina, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website; (b) your violation of this Agreement; (c) your User Contributions; or (d) your use of any information obtained from the Website.

11. Governing Law; Arbitration; Class Action Waiver

This Agreement and any disputes arising out of or relating to it or to the Website (including non-contractual disputes or claims) are governed by the internal laws of the State of Michigan, without regard to conflict-of-law rules.

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, as modified by this Agreement. The arbitration will take place in the State of Michigan or remotely by video conference at the arbitrator’s discretion. The arbitrator has exclusive authority to resolve any dispute regarding the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the award may be entered in any court having jurisdiction.

Each party will bear its own attorneys’ fees and costs and will share equally the arbitrator’s fees and administrative costs, unless the arbitrator determines otherwise. YOU AND THE IRON PATINA AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF.

12. Additional Arbitration Election

Without limiting Section 11, The Iron Patina may, in its sole discretion, require that any dispute related to this Agreement or the Website be submitted to final and binding arbitration administered by the AAA and applying Michigan law, consistent with the procedures described above.

13. Time Limit to Bring Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE WEBSITE MUST BE FILED WITHIN ONE (1) YEAR AFTER IT ACCRUES, OR IT IS PERMANENTLY BARRED.

14. Waiver and Severability

No waiver of any term or condition by The Iron Patina shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce a right or provision does not constitute a waiver of that right or provision. If any provision is found invalid, illegal, or unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

This Agreement, together with our Privacy Policy and any additional policies or rules posted on the Website, constitutes the complete agreement between you and The Iron Patina regarding the Website and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Website.

16. Your Comments and Concerns

All notices of alleged copyright infringement should be submitted via our contact us page addressed to our designated agent. All other feedback, comments, requests for support, and communications related to the Website should be submitted through contact us.
